to authorise the appointment of a Company Secretarial Practitioner and signing of the company secretarial mandate issued by ACCME ACCOUNTANTS.
REASONS FOR THE DIRECTORS RESOLUTION
1. It has now become necessary to provide the CIPC with a signed mandate given by our Secretarial Practitioners ACCME ACCOUNTANTS to conduct all our company secretarial affairs.
2. The secretarial work for our company is performed by the accounting firm ACCME ACCOUNTANTS and It has now become necessary to formally give them the authority to do our secretarial work as well as to appoint a designated individual in their firm to conduct all our filings at the CIPC.
RESOLUTIONS TO BE PASSED
1. APPOINTMENT OF THE SECRETARIAL PRACTITIONER: ACCME ACCOUNTANTS is appointed as the Secretarial Practitioner responsible for all our company secretarial work as indicated in the mandate letter.
2. MANDATE REQUIREMENT FOR CIPC FILINGS: In compliance with the requirements of the Companies and Intellectual Property Commission (CIPC), it is mandated that the individual responsible for filing our statutory documents at the CIPC must be authorised by mandate to do so. This mandate authorises the Secretarial Practitioner ACCME ACCOUNTANTS and the designated individual filer MRS A. B. Wiseman the authority to conduct all our filings at the CIPC.
3. AUTHORISATION TO SIGN THE MANDATE: The board is hereby authorised to sign the mandate as presented by ACCME ACCOUNTANTS, the authority to conduct our company secretarial work as well as granting the designated individual MRS A. B. Wiseman the authority to perform the necessary filing at the CIPC.
